1. Definitions
   
  1.1 'MC' refers to Maxwell Chambers Private Limited.
   
  1.2 'Client' refers to the party or parties who has or have made a reservation for the use of room and other facilities and/or services from MC.
   
  1.3 "Centre" refers Maxwell Chambers, Centre for International Dispute Resolution situated at 32 Maxwell Road Singapore 069115.
   
2. Charges
   
  2.1 Where a request for reservation of rooms is made any time before one month from the starting date of intended use, a non-refundable deposit of 10% of the total room charges is payable in order to confirm the reservation. Full payment of the room charges is required one month before the date of intended use, failing which the deposit of 10% is forfeited and the reservation cancelled.
   
  2.2 Where a request for reservation of rooms is made within one month from the starting date of intended use, full payment of the total room charges is payable before the reservation is confirmed.
   
  2.3 Charges for other facilities and additional services incurred by the Client will be payable as incurred.
   
  2.4 Invoices will be rendered by MC at the end of the period of room hire or such earlier time as appropriate. In the event of late payment, MC shall be entitled to charge interest on all outstanding amounts at 5% per annum from the date of invoice to the date of payment, before or after judgment.
   
  2.5 All charges are exclusive of goods and services tax which is to be borne and paid by the Client.
   
3. Cancellation Policy
   
  3.1 Where the Client, after a room reservation is confirmed but before the full payment of the room charges is made, notifies MC in writing to cancel the reservation, MC will forfeit the entire non-refundable deposit.
   
  3.2 Where the Client, after full payment of the total room charges has been made, notifies MC in writing to cancel the reservation of the room (s)-
   
   
(a) less than one month but more than two weeks before the starting date of the intended use, MC will forfeit half of the entire sum of the room charges, and refund the other half to the client;
   
(b) two weeks or less before the starting date of intended use, no refund will be made by MC on the full payment of the total room charges received from the Client.
   
  3.3 Where the Client cancels the booking of additional facilities and services, such as translation, transcription, video conferencing or catering, the Client shall pay the costs incurred by MC in securing those services or for which MC becomes liable to the providers of those services as a result of the cancellation on a full indemnity basis and the amount of such costs shall be set out or included in an invoice from MC to the Client. Save for arithmetical errors, the amount of such costs shall not be subject to any review or negotiation and the Client undertakes to pay the full amount of such costs indicated on the invoice.
   
4. Availability for Use
   
  4.1 The Centre has flexible operating hours depending on the needs of the Client and the purpose for which the room is hired.
   
  4.2 Rooms hired for the conduct of ADR hearings are available for use on weekdays, weekends and public holidays.
   
  4.3 Rooms hired as preparation rooms to facilitate the ADR hearing are available daily on a 24 hour basis. Rooms hired as preparation rooms will not come with video conferencing and audio recording facilities, and refreshments will not be provided.
   
  4.4 Rooms hired for business use e.g. for functions, conferences, meetings etc are available on weekdays, weekends and public holidays.
   
5. Other Conditions
   
  5.1 MC accepts no responsibility for loss or damage to persons invited into the Centre by the Client, including but not limited to the Client’s employees, or persons engaged by the Client or whose attendance at the Centre was requested by the Client (“the Client’s invitees”). Client shall accept full responsibility to MC for all loss or damage caused by the acts or omissions of the Client’s invitees, howsoever arising, and shall fully indemnify MC for the same.
   
  5.2 MC accepts no responsibility for loss or damage to items brought to the Centre by Client or Client’s invitees. Items shall be stored at the Client’s or Client’s invitee’s sole risk in the areas allotted to the Client and must be removed immediately at the end of period of hire. MC shall charge the Client for any period when it, or its property, or the Client’s invitees’ property remains on the Centre after the period of hire at a rate that MC determines is a reasonable rate in the absolute discretion of MC, and the Client undertakes to pay the full amount of such charges as set out in an invoice from MC to the Client. MC is also entitled to have such items removed and stored or have these items disposed at the Client’s risk and expense.
   
  5.3 The Client shall be responsible for ensuring that all hired items from MC are restored to the same good working order and condition as at the start of the period hired by the Client. The Client shall be responsible to MC for any loss or damage caused to any of MC’s premises and/or property by the Client or by any the Client’s invitees. The Client shall indemnify MC for all and any such loss or damage, whether directly or indirectly caused by the Client or the Client’s invitees and whether or not such loss and damage is of a direct or consequential nature, and the amount thereof shall be set out or included in an invoice from MC to the Client. Save for arithmetical errors, this amount shall not be subject to any review or negotiation and the Client undertakes to pay the full amount indicated on the invoice.
   
  5.4 The Client undertakes to use the rooms and facilities of the Centre strictly for the purpose for which they are hired and not to do or permit to be done anything in the rooms or in respect of the facilities which will in any way interfere with the use of the Centre and its facilities by other persons, and not to use the premises for any unlawful or immoral purposes. The Client undertakes that it will indemnify MC fully for any loss or damage of any kind sustained by MC as a result of a breach of this undertaking by the Client or by the Client’s invitees.
   
  5.5 MC reserves the right to refuse entry to or to immediately eject from the Centre any person whose presence is in MC’s opinion undesirable and/or whose conduct is objectionable, disorderly or disruptive or in violation of any laws.
   
  5.6 If MC is prevented from conducting business at the whole or a part of the Centre as a result of any damage caused or threatened to the Centre or any other event or circumstance outside its control, it shall be entitled to cancel the whole or a part of any room hire and shall not be liable for any loss suffered by the Client as a consequence.
